1. Eligibility & Account Registration

• 1.1 Eligibility – You must be at least 18 years old or the age of majority in your jurisdiction.
• 1.2 Account Accuracy – You agree to provide accurate, current, and complete information when creating an account and update it as needed.
• 1.3 Account Security – You are responsible for safeguarding your login credentials. IMPACTED is not liable for unauthorized access caused by your failure to secure your account.
• 1.4 Account Sharing – Sharing or selling access to your account is strictly prohibited.

2. Services & Access

• Students may purchase or access free/paid courses, mentorship sessions, and resources.
• Educators/Contributors may upload, publish, and monetize content subject to the Contributor Agreement.
• Affiliates may promote courses via unique links, subject to separate Affiliate Terms.

We reserve the right to add, remove, or modify services without liability, provided ongoing paid subscriptions are not materially impacted.

3. Intellectual Property Rights

• Ownership – All Platform content (courses, videos, lectures, graphics, software, etc.) is owned by IMPACTED or licensed from contributors.
• License to Users – Students receive a limited, non-transferable license for personal, non-commercial educational use only.
• Prohibited Uses – You may not copy, record, resell, sublicense, or publicly distribute content without written permission.
• Educator Rights – Educators retain ownership of their content but grant IMPACTED a non-exclusive license to host, distribute, and market globally.

4. Payments, Subscriptions & Refunds

• Pricing – Fees are displayed on the Platform and may change with notice.
• Payments – Processed via third-party providers; IMPACTED does not store banking data.
• Refunds – Governed by our Refund Policy. Certain purchases (e.g., live events, consultations) may be non-refundable.
• Recurring Subscriptions – Auto-renew unless canceled before renewal.

5. Contributor Standards

• Originality – Upload only original or licensed content.
• Quality – Content must meet professional standards; non-compliant material may be removed.
• Free Content Requirement – At least 30% of uploaded content must be free (per Contributor Agreement).
• Content Updates – Educators are encouraged to refresh content every 3 months.

6. User Conduct & Community Guidelines

You agree not to:

• Post unlawful, defamatory, obscene, or harmful content.
• Harass, abuse, or threaten students, educators, or staff.
• Spam, phish, or solicit without authorization.
• Upload malware, bots, or disruptive code.
• Misrepresent credentials or identity.

Violations may result in suspension, termination, or legal action.

7. Privacy & Data Protection

• Data Collection – Managed under our Privacy Policy.
• Video/Audio Use – Live mentorship/courses may use your camera & microphone; recordings require consent.
• Compliance – We comply with PIPEDA, PHIPA, HIA, CCPA/CPRA, and other relevant laws.
• Security – Industry-standard encryption protects data, but no system is 100% secure.

8. Third-Party Tools & Links

The Platform integrates third-party services (e.g., hosting, payments). We are not liable for failures or breaches caused by third parties outside our control.

9. Disclaimers

• Educational Use Only – Content is for professional development, not medical/legal/financial advice.
• Accreditation – Some courses may qualify for CPD/CME, but recognition is not guaranteed.
• Availability – Service interruptions may occur.

10. Limitation of Liability

To the fullest extent allowed by law:

• IMPACTED is not liable for indirect or consequential damages (e.g., loss of data, income, or goodwill).
• Total liability is capped at the amount paid in the 12 months before the claim.

11. Termination

• By You – You may terminate your account anytime.
• By Us – We may suspend/terminate accounts violating these Terms.
• Effect – Termination revokes all content access; outstanding payments remain due.

12. Intellectual Property Claims (DMCA)

If you believe your IP rights are infringed, email us at [email protected] with supporting evidence. We follow DMCA-compliant takedown procedures.

13. Governing Law

These Terms are governed by the laws of Canada and the Province of British Columbia. Disputes fall under the jurisdiction of BC courts.

14. Modifications

We may update Terms periodically. Continued use after posting constitutes acceptance.
