Contributor & Educator Agreement

Effective Date: July 12th, 2025

Welcome to IMPACTED (“we,” “our,” “us”), a global education and mentorship platform designed for dental professionals. These Terms & Conditions (“Terms”) govern your use of IMPACTED’s website, mobile applications, courses, mentorship services, and related features (collectively, the “Platform”).

By accessing or using the Platform, you agree to comply with and be legally bound by these Terms. If you do not agree, please discontinue use immediately.

1. Eligibility & Account Registration

1.1 Eligibility – You must be at least 18 years old or the age of majority in your jurisdiction. By registering, you confirm you meet these requirements.
1.2 Account Accuracy – You agree to provide accurate, current, and complete information when creating an account, and to update it as needed.
1.3 Account Security – You are responsible for safeguarding your login credentials. IMPACTED is not liable for unauthorized access arising from your failure to secure your account.
1.4 Account Sharing – Sharing or selling access to your account is strictly prohibited.

2. Services & Access

2.1 Student Access – Students may purchase or access free/paid courses, mentorship sessions, and related educational resources.
2.2 Educator Access – Educators and contributors may upload, publish, and monetize content subject to separate Contributor Agreements.
2.3 Affiliate Access – Affiliates may promote courses through unique links, subject to separate Affiliate Terms.
2.4 Service Availability – IMPACTED may add, remove, or modify services at any time without liability, provided it does not materially affect paid subscriptions already in progress.

3. Intellectual Property Rights

3.1 Ownership – All content on the Platform (videos, courses, lectures, graphics, text, software, designs) is owned by IMPACTED or licensed from contributors.
3.2 License to Users – Students are granted a limited, non-exclusive, non-transferable license to access content for personal, non-commercial educational use only.
3.3 Prohibited Uses – You may not:

Copy, record, modify, distribute, or publicly display content without written permission.
Resell, sublicense, or use Platform content for commercial purposes outside IMPACTED.
Circumvent technical measures that protect content.
3.4 Educator Rights – Educators retain ownership of their content but grant IMPACTED a non-exclusive license to host, distribute, and market their material globally.

4. Payments, Subscriptions & Refunds

4.1 Pricing – Fees for subscriptions, courses, and services are posted on the Platform and may be updated with notice.
4.2 Payment Processing – Payments are handled by third-party providers. IMPACTED does not store credit card or banking information.
4.3 Refunds – Refunds will follow the Refund Policy available on the Platform. Some purchases (e.g., live events or consultations) may be non-refundable.
4.4 Recurring Subscriptions – Subscription fees will auto-renew unless canceled prior to the renewal date.

5. Content Uploads & Contributor Standards

5.1 Originality – Contributors must upload only original content or content they have rights to.
5.2 Quality Standards – IMPACTED reserves the right to reject or remove content that fails to meet professional or technical standards.
5.3 Free Content Requirement – Contributors must allocate a percentage of their uploaded content as free access (as outlined in Contributor Agreement).
5.4 Content Updates – To maintain educational relevance, contributors are encouraged to update content regularly.

6. User Conduct & Community Guidelines

When using the Platform, you agree not to:

Post unlawful, defamatory, obscene, discriminatory, or harmful content.
Harass, abuse, or threaten educators, students, or staff.
Engage in spamming, phishing, or unauthorized solicitation.
Introduce malware, bots, or disruptive scripts.
Misrepresent your identity, credentials, or association with IMPACTED.

Violation of these rules may result in account suspension, termination, or legal action.

7. Privacy & Data Protection

7.1 Data Collection – IMPACTED collects and processes personal data as described in our Privacy Policy.
7.2 Video & Audio Use – Live mentorship and courses may involve use of your camera and microphone. These sessions are not recorded or shared without consent.
7.3 Compliance – We comply with privacy regulations including PIPEDA, PHIPA, HIA (Canada), CCPA/CPRA (California), and other applicable laws.
7.4 Security Measures – Industry-standard encryption and safeguards protect your data. However, no system is 100% secure, and we disclaim liability for breaches beyond our reasonable control.

8. Third-Party Tools & Links

The Platform may integrate with third-party services (e.g., video hosting, payment gateways). IMPACTED is not responsible for downtime, errors, or breaches caused by third parties outside our control.

9. Disclaimers

9.1 Educational Purpose – All content is provided for educational and professional development purposes only. It does not constitute legal, medical, or financial advice.
9.2 Accreditation – While some courses may qualify for CPD/CME, IMPACTED does not guarantee recognition by all licensing bodies.
9.3 Availability – We do not guarantee uninterrupted access to the Platform. Technical issues may occur.

10. Limitation of Liability

To the fullest extent permitted by law:

IMPACTED will not be liable for indirect, incidental, or consequential damages (loss of income, data, or goodwill).
Total liability shall not exceed the amount paid by you in the 12 months prior to the claim.

11. Termination & Account Suspension

11.1 By You – You may terminate your account at any time.
11.2 By Us – We may suspend or terminate accounts for violations of these Terms or misuse of the Platform.
11.3 Effect of Termination – Upon termination, access to all purchased content is revoked. Outstanding financial obligations remain enforceable.

12. Intellectual Property Claims & DMCA

13. Governing Law & Dispute Resolution

Content Approval Policy

All mentors must receive prior approval from the IMPACTED team before being granted access to the platform dashboard. Dashboard access and publishing rights will be provided only after the approval process is completed.

Terms & Conditions

Scope of Services	All services and deliverables will be clearly defined and agreed upon in writing before the start of collaboration.
Timeline	Standard content delivery is expected within 3–4 weeks. Extensions may be granted in case of contributor-driven delays.
Payment Terms	Payments will be processed within 30 days after the contributor reaches the defined payout threshold.
Content Requirements	All submitted content must be original, high-quality, educationally relevant, and appropriate for professional dental audiences.
Free Course Requirement	Instructors must allocate a minimum of 30% of their total uploaded content as free courses to ensure broader community access.
Content Upgradation	Contributors are encouraged to update or enhance their content every 3 months to maintain relevance and user engagement.
Instructor Engagement	Educators must actively monitor and respond to comments and notifications to foster student engagement and maintain course interaction.
Termination	Either party may terminate the agreement with 14 days written notice. All pending, eligible payouts will still be honored.
Intellectual Property	Instructors retain full ownership of their content. IMPACTED is granted a non-exclusive, global license to host and promote the material.
Liability	IMPACTED is not liable for any indirect damages, third-party platform issues, or contributor delays beyond its control.
Confidentiality	Both parties agree to maintain confidentiality regarding all shared materials, information, and communications.
Amendments	Any changes to these terms must be made in writing and mutually agreed upon by both parties.
Instructor Disclaimer	All instructors must acknowledge and agree to these terms before publishing content on IMPACTED.

By accessing and using this platform, you acknowledge and consent to the use of your camera and microphone for real-time video and audio communication. This functionality is essential for the services we provide.

We are committed to protecting your privacy and managing your data responsibly. Your video and audio feeds are used only for live interactions and are not recorded, stored, or shared without your explicit consent.

Your information is handled in compliance with:

Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA)
Applicable provincial privacy laws (e.g., PHIPA, HIA, etc.)
